These Terms of Service govern your use of the Kaivix Labs website at kaivixlab.com and any AI software services provided by Kaivix Labs. By accessing our website or purchasing our services, you agree to these terms in full.

1. About Kaivix Labs

Kaivix Labs is an AI software company that designs, builds, and deploys custom AI employees and automation systems for businesses. We operate from the United States and serve clients globally.

2. Services

Kaivix Labs offers the following services:

• Custom AI employee and agent development
• Workflow automation systems
• Custom AI software for business operations
• Ongoing maintenance and hosting of deployed systems

The specific scope, deliverables, pricing, and timeline for each engagement are outlined in a separate Service Agreement signed before work begins. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement takes precedence.

3. Use of This Website

By visiting kaivixlab.com you agree to:

• Use the website for lawful purposes only
• Not attempt to disrupt, hack, or reverse-engineer any part of the site or its AI systems
• Not submit false or misleading information through any forms or booking systems
• Not reproduce, copy, or redistribute any content from this site without written permission

4. Booking a Demo

Booking a free demo call through our Calendly link is not a purchase or commitment of any kind. It is an exploratory conversation to determine whether Kaivix Labs can help your business. No fees are charged for demo calls. You may cancel or reschedule at any time through the Calendly link provided in your confirmation email.

5. Payments

All services require a setup fee paid upfront before work begins. Setup fees are non-refundable once development has started. Monthly retainer fees are billed in advance and are due on the 1st of each billing month.

Payments are accepted in USD via Wise or bank transfer. Late payments beyond 7 calendar days will result in a service pause until the outstanding balance is cleared. Kaivix Labs reserves the right to terminate an engagement for non-payment after 30 days with no refund of fees already paid.

6. Intellectual Property

Upon receipt of full payment, clients own all custom content, workflows, system prompts, and configurations built specifically for their business as part of the agreed scope.

Kaivix Labs retains all rights to the underlying code frameworks, methodologies, tools, and systems used to build client deliverables. Kaivix Labs also retains the right to describe its work with a client in general terms for portfolio and marketing purposes, unless the client requests confidentiality in writing.

All content on kaivixlab.com — including text, logos, and design — is the property of Kaivix Labs and may not be copied or reproduced without permission.

7. Limitation of Liability

Kaivix Labs provides AI systems to support and assist business operations. These systems are not infallible and should not be relied upon as the sole decision-making tool for critical business functions.

Kaivix Labs is not liable for any indirect, incidental, or consequential damages arising from the use or failure of any AI system we deploy, including but not limited to lost revenue, lost data, or reputational harm. Our maximum liability under any circumstances is limited to the total fees paid to Kaivix Labs in the 30 days preceding the claim.

8. Third-Party Services

Our AI systems rely on third-party services including AI model APIs (Groq, OpenAI), cloud hosting platforms, and scheduling tools. Kaivix Labs is not responsible for outages, changes, or failures caused by these third-party providers. We will make reasonable efforts to resolve any such issues as quickly as possible.

9. Cancellation and Termination

Clients may cancel the monthly retainer with 30 days written notice sent to brayiron@kaivixlab.com. The setup fee is non-refundable. Any retainer fees already paid for the current billing period are non-refundable but service will continue through the end of that period.

Kaivix Labs reserves the right to terminate any service agreement with 30 days written notice. In that case, a pro-rated refund of any prepaid retainer covering the period after termination will be issued.

10. Changes to These Terms

Kaivix Labs may update these Terms of Service from time to time. The date at the top of this page reflects the most recent revision. Continued use of our website or services after an update constitutes acceptance of the revised terms. For active clients, material changes to terms will be communicated directly via email with at least 14 days notice.
